Overview

 

These Terms & Conditions govern the provision of executive virtual assistant services by The Executive Private Office to its clients. By engaging our services, you agree to these terms.

 

2. Services

Services are provided remotely and on a retained basis unless otherwise agreed in writing. Scope of services will be outlined in a separate agreement or proposal prior to commencement.

3. Retainers, Payment and Commitment

All services are provided on a retained basis.

Clients agree to a minimum initial commitment period of three (3) consecutive months from the agreed commencement date. Retainer fees are payable monthly in advance and remain payable in full for the duration of the minimum term, regardless of usage.

Following completion of the initial three-month term, the agreement will continue on a rolling monthly basis unless terminated in accordance with the notice provisions below.

Retainer Hours

Each retainer includes a defined allocation of monthly support hours as agreed in writing prior to commencement.

At the end of each month, time utilised will be reviewed against the allocated hours. Unused hours do not roll over to subsequent months unless expressly agreed in writing.

Where support exceeds the agreed monthly allocation, additional hours will be charged at the agreed hourly rate and invoiced separately.

 

Notice Period

Following the initial three-month minimum term, either party may terminate the agreement by providing thirty (30) days’ written notice.

Notice must be given in writing via email. Retainer fees remain payable during the notice period.

 

Late Payment

Invoices are payable within seven (7) days of issue unless otherwise agreed in writing.

Where payment is not received by the due date:

• Services may be suspended without notice
• Outstanding invoices may incur statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
• Any costs incurred in recovering overdue payments may be charged to the client

 

Suspension of Services

The Executive Private Office reserves the right to suspend services where payment remains outstanding or where terms of engagement are breached.

Suspension does not waive the client’s obligation to pay fees due under the agreement.

4. Confidentiality

The Executive Private Office operates within high-trust environments. All client information is treated as strictly confidential. We will not disclose confidential information to third parties unless required by law or with written consent. Clients are equally expected to respect confidential processes and intellectual property.

 

5. Limitation of Liability

While all services are delivered with professional care and diligence, The Executive Private Office shall not be liable for:

 

• Indirect or consequential losses

• Decisions made by clients based on information provided

• Losses resulting from third-party services or suppliers

Total liability shall not exceed the total fees paid within the preceding three months.

 

6. Availability and Boundaries

Services are provided during agreed working hours. Clear response times and boundaries are established at the outset of each retainer agreement. Out-of-hours support may incur additional fees.

 

7. Termination

Either party may terminate a retainer agreement with written notice as specified in the service agreement. Outstanding fees remain payable upon termination.8. Intellectual Property Documents, templates and materials created during the engagement remain the property of the client once full payment has been received, unless otherwise agreed. A minimum of 3 month will be charged regardless

 

9. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.
